1. Agreement to Terms
By accessing or using Cullit (“Service”), operated by Cullit LLC (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.
2. Description of Service
Cullit is an AI-powered release notes generation tool. The Service includes a command-line interface (CLI), GitHub Action, hosted API server, web dashboard, and related integrations that analyze git commit history and generate release notes using third-party AI providers. The hosted platform provides user accounts (authenticated via WorkOS AuthKit), generation history, usage analytics, and organization management. The Service is fully open source and free to use.
3. Accounts
To use the hosted Service, you authenticate via WorkOS AuthKit (supporting GitHub, GitLab, Google, email, and SSO/SAML). By logging in, you authorize Cullit to access your user ID, display name, email address, and profile picture to create and maintain your account. You may also create or join organizations and invite team members. We issue you a Cullit API key for programmatic access. You are responsible for maintaining the confidentiality of your API keys and account credentials, and for all activity that occurs under your account.
4. Bring Your Own Key (BYOK)
Cullit supports a “Bring Your Own Key” model where you provide your own API keys for third-party AI providers (such as Anthropic, OpenAI, Google Gemini, or Ollama). When using BYOK:
- You are responsible for all costs incurred with your third-party AI provider.
- Your use of third-party services is governed by their respective terms of service.
- We do not store, log, or transmit your third-party API keys (e.g., Anthropic, OpenAI, Gemini, Ollama) beyond what is necessary to process your request in the current session. Cullit-issued API keys are stored securely in our systems.
5. Donations and Sponsorships
Cullit is funded by optional community support through GitHub Sponsors and donations. Sponsorship is voluntary and does not unlock feature tiers.
- All core features remain available in the open-source project regardless of sponsorship status.
- Donations help fund maintenance, support, and future development.
- Sponsorship processing is handled by third-party platforms under their own terms and privacy policies.
6. Service Changes
We may evolve, add, or retire service components over time. If hosted components are changed or removed, open-source usage remains available under the project license.
- Hosted-service feature availability may change as the project evolves.
- We will communicate major changes through release notes and documentation updates.
- Open-source code remains available in the repository history.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Attempt to reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service to generate content that is harmful, abusive, or violates the rights of others.
- Exceed reasonable usage limits or attempt to circumvent rate limiting.
- Misrepresent sponsorship status as a source of feature entitlement.
8. Intellectual Property
Your Content: You retain all ownership rights to your git repositories, commit messages, and any content you provide to the Service. Release notes generated by the Service from your content belong to you.
Our Service: The Service, including its original code (except open-source components), design, and documentation, is owned by Cullit LLC. The open-source CLI and GitHub Action are licensed under the MIT License.
9. Third-Party Services
The Service uses GitHub as an authentication identity provider via OAuth 2.0. The Service also integrates with third-party services including but not limited to GitHub (for source control data), GitLab, Bitbucket, Jira, Linear, Slack, Discord, Microsoft Teams, Confluence, Notion, Anthropic, OpenAI, Google Gemini, and Ollama. Your use of these integrations is subject to the terms and policies of those third-party providers. We are not responsible for the availability, accuracy, or practices of any third-party service.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
AI-generated release notes may contain inaccuracies. You are responsible for reviewing all generated content before publishing or distributing it.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CULLIT LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- YOUR USE OR INABILITY TO USE THE SERVICE;
- ANY UNAUTHORIZED ACCESS TO OR USE OF YOUR DATA;
- ANY CONTENT GENERATED BY THE SERVICE;
- ANY INTERRUPTION OR CESSATION OF THE SERVICE.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless Cullit LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Service or your violation of these Terms.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last Updated” date. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of law provisions.
15. Dispute Resolution
Any dispute arising from these Terms shall first be resolved through good-faith negotiation. If unresolved within 30 days, either party may pursue binding arbitration under the rules of the American Arbitration Association, conducted in Boise, Idaho. Each party bears its own costs unless the arbitrator determines otherwise.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cullit LLC regarding use of the Service, and supersede all prior agreements and understandings.
18. Force Majeure
Cullit LLC shall not be liable for any failure or delay in performing obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, internet outages, or third-party service failures.
